Welcome to Gainz360, a product of Scriptika Solutions. By accessing or using the Gainz360 platform ("Service"), you ("User", "you", or "Customer") agree to be bound by the following Terms and Conditions ("Agreement"). If you do not agree to these terms, you may not use the Service.

1. Introduction

Gainz360 is a cloud-based restaurant management system provided by Scriptika Solutions, designed to help restaurants manage operations including menu, orders, billing, inventory, staff, and analytics. This Agreement governs your access and use of Gainz360, whether as a trial or paid subscription.

2. Acceptance of Terms

• You have read and understood this Agreement.
• You are at least 18 years old.
• You have the authority to enter into a binding legal agreement on behalf of a business entity if applicable.

3. Account Registration and Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate and up-to-date information during registration.
• Scriptika Solutions is not liable for any loss or damage resulting from unauthorized account use.

4. License and Restrictions

Scriptika Solutions grants you a non-transferable, non-exclusive, revocable license to use Gainz360 for your internal business use. You may not:

• Reverse engineer, decompile, or disassemble the platform.
• Use the software for illegal activities.
• Share or resell access to Gainz360 without written consent.
• Modify or create derivative works based on the software.

5. Payment and Subscription

• Gainz360 operates on a subscription basis. All fees are outlined during registration or upgrade.
• Subscription fees are non-refundable except as outlined in the Cancellation & Refund Policy.
• Failure to pay on time may result in suspension or termination of your account.

6. Data Ownership and Usage

• You retain ownership of your restaurant's data.
• You grant Scriptika Solutions a license to use, process, and store your data solely for the purpose of providing the Service.
• Your data will not be sold or shared without consent.

7. Privacy Policy

Scriptika Solutions respects your privacy. We collect:

• Business information (restaurant name, address, GST details)
• User login data
• Device and browser metadata
• Transaction and activity logs

How We Use Your Data:

• To provide and maintain Gainz360
• For account management, support, billing, and updates
• To improve functionality and performance

Data Protection:

• Data is encrypted and stored securely using industry best practices.
• Access is strictly role-based and logged.

We may use third-party services for analytics, payment processing, or infrastructure, each vetted for data privacy compliance.

8. Cancellation and Refund Policy

8.1 Cancellation:

• You may cancel your subscription any time from your dashboard or by contacting support.
• Access continues until the end of the billing cycle.

8.2 Refund Eligibility:

• Refunds requested within 7 days of subscription/renewal are eligible for pro-rata refund.
• No refunds after 7 days.

8.3 Refund Calculation:

Refund = [Total amount paid] - ([Daily rate] × number of days used)
Refunds processed to original payment method within 10 business days.

9. Intellectual Property

Gainz360 and all associated content, trademarks, and software are the property of Scriptika Solutions. Unauthorized use is prohibited.

10. Modifications to Service

Scriptika Solutions may change or discontinue the Service at any time. Continued use implies acceptance of changes.

11. Limitation of Liability

• No liability for indirect, incidental, or consequential damages.
• Maximum liability limited to fees paid in the previous 6 months.

12. Termination

• Accounts may be suspended or terminated for Agreement violations, non-payment, or harmful use.
• Post-termination, access to data or services may be revoked.

13. Indemnification

You agree to indemnify Scriptika Solutions against any claims, damages, or legal actions from:

• Your use of the Service
• Your content or data
• Your violation of this Agreement

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

15. Force Majeure

We are not liable for delays due to events beyond our control, such as natural disasters, internet failures, or legal actions.

16. Entire Agreement

This document (including Privacy Policy and Cancellation terms) is the full agreement between you and Scriptika Solutions. No informal agreements override it.
